Vodafone Idea Ltd allots 144,00,00,000 shares on conversion of OCDs

The Board of Directors of Vodafone Idea Limited has today (i.e. 23rd March 2024), allotted 144,00,00,000 (One Hundred & Forty-Four Crore) equity shares of face value of Rs.10/- each at an issue price of Rs. 10/- per equity share to ATC Telecom Infrastructure Private Limited (‘ATC’), pursuant to the conversion of 14,400 OCDs.

Consequent to the aforesaid allotment, the paid-up share capital of the Company stands increased to Rs. 501,196,892,050 comprising of 50,119,689,205 equity shares of the face and paid-up value of Rs. 10/- each and shareholding of ATC in the Company stands at 2.9% of the paid-up equity capital.

The company had earlier allotted 16,000 Optionally Convertible Debentures (‘OCDs’) of face value of Rs. 10,00,000/- each, aggregating to Rs. 1,600 Crore to ATC Telecom Infrastructure Private Limited (‘ATC’) wherein each OCD is convertible into 1,00,000 equity shares of face value of Rs. 10/- each (“Equity Share”) at a conversion price of Rs. 10/- per Equity Share, extension of the redemption period of first tranche of OCDs, and communication dated 19th March 2024 about the receipt of conversion notice for conversion of 14,400 (Fourteen Thousand and Four Hundred only) OCDs into 144,00,00,000 (One Hundred and Forty-Four Crore) fully paid-up Equity Shares of the Company.
